RESPONSIBILITIES
1. General legal support under the direction of the General Counsel:
- Head of Legal coordinates the team in charge of legal matters in general for the company and its affiliates. Managing the legal team includes junior and senior legal assistants, and para-legal in charge of the license and certificates in line with business activities.
- Corporate Secretary functions should be part of the Head of Legal’ s responsibilities.
2. More particularly, Head of Legal shall be responsible to:
- Provide legal representation and counsel regarding compliance with the company’s commercial and business, and in accordance with the applicable legislation;
- Cooperate on the review of internal processes of the company for risk management
- Cooperate through legal advice and counsel with other departments and independent units and offices of the company in the formulation and drafting of new policies, rules and procedures;
- Write, review and negotiate various contracts including supplier’s contracts, professional service agreements, license agreements and partner agreements;
- Provide pro-active legal support to internal departments (Business Development, Trading, Accounting and Tax, Marketing, Advertising, Investment, Procurement, Human Resources, and Administration);
- Conduct legal research for particular issues as assigned by the General Counsel using periodicals, law library, public records, and offices;
- Foresee legal changes that affect the Company’s business; updating with business legal issues.
- Assist in negotiating drafting and/or reviewing of all types of contracts and documents;
- Advise and draft documents for establishment of new companies/branches and amendment to any thing of them.
- Prepare legal researches and provide legal/policy analysis of issues, and administer contracts;
- Coordinate process for getting licenses and certificates required for business activities;
- Conduct procedures for disputes and strategic legal files with outside counsels;
- In charge of Corporate Governance (Draft and manage the legal documents, corporate documents soft and/or hardcopy);
- Manage original certificates and licenses and follow up them;
- Manage original contracts and follow up them;
- Prepare and register to all trademarks/licenses;
- Follow up and classify laws and regulations into the law library;
- Translate legal/corporation documents;
- Update new laws and regulations into the law library;
- Give the monthly legal update regarding operations;
- Giving explanation on roles and activities of Legal department;
- Develop and keep good relationship with competent authorities;
- General assistance to the General Counsel and others requests from the General Counsel.
3. Risk Management:
- Cooperate in the review internal processes and company for risk management;
- Advise the corporation on a wide range of issues including employment, data protection, marketing, commercial activities, property, and corporate issues.
4. Litigation:
- Coordinate legal petition and defense of company litigation;
5. Corporate Governance:
- Establish company’s corporate governance (appropriate legal structure of the company, certificate of incorporation and bylaws, attend meetings of the board and act as corporate secretariat, prepare minutes of meetings of the board of directors and other committees, as well as agendas and certain materials, draft proposals and resolutions. Participation in preparing and attending meetings of the board of directors, act as assistant corporate secretary.
- Manage the application of Corporate Governance, and Legal Compliances;
- Prepare legal researches, giving legal advice, developing administrative regulations, provide legal and policy analysis of issues, and administer contracts.
6. Expansion:
- Assist Joint Venture, partnership, merges and acquisition, institutional equities, corporate finance, trading and research.
7. Finance:
- Draft, review, and negotiate both debt and equity financing documentation, and close of such financings;
- Establish procedures and formalities for eventual IPO.
REQUIREMENTS
1. Education & Experience:
- Bachelor or Master Degree, majored in Commercial or Corporate Laws
- Minimum 10 year experience in Corporate and Commercial Laws. Must be licensed attorneys with 5 or more years of experience in diverse areas of law that include contract law, administrative law, intellectual property, and litigation. Experience in labor law and purchasing would be a plus
